1. Agreement to Terms

These Terms of Service (the "Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Resonant ("Company," "we," "us," or "our"), concerning your access to and use of our AI voice agent platform (the "Service"). You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Service Description and Definitions

2.1 Service Description

The Service provides AI-powered voice agents for conducting customer research and discovery interviews. The Service includes the platform, all features, applications, and services offered by Resonant.

2.2 Definitions

Throughout these Terms:

• "AI Agent" means our artificial intelligence-powered interview system that conducts automated interviews.
• "Interview Subject" means any individual participating in interviews conducted through the Service.
• "Content" means all information, data, text, recordings, and other materials collected or generated through the Service.
• "Custom Instructions" means additional directives provided by users to customize AI Agent behavior.

3. Account Registration and Management

3.1 Registration

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. Each account is limited to a single user and organization, and account sharing between multiple users or organizations is strictly prohibited.

3.2 Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorized access or security breaches
• Ensuring that your account information remains accurate and current

3.3 Account Transfers

Account ownership transfers are permitted only through modification of the account holder's name and email address within the same organization. Transfers between different organizations are not permitted.

4. Service Usage and AI Agent Configuration

4.1 AI Agent Types

The Service offers three pre-configured AI Agent types: sales, research, and discovery. Users may customize their AI Agent's name and provide Custom Instructions within permitted parameters.

4.2 Custom Instructions

Custom Instructions are subject to review, and we reserve the right to:

• Reject inappropriate Custom Instructions
• Modify or remove Custom Instructions that violate our policies
• Suspend or terminate accounts that repeatedly submit inappropriate Custom Instructions

4.3 Service Limitations

• The pay-as-you-go plan is limited to one concurrent AI Agent
• Interview duration is limited to the target duration specified during interview creation
• Service availability depends on third-party API providers, and we do not guarantee uninterrupted service

5. User Responsibilities and Content Guidelines

5.1 Interview Subject Consent

You are solely responsible for:

• Obtaining valid, documented consent from all Interview Subjects before conducting interviews
• Informing Interview Subjects about data collection, AI use, and their rights
• Maintaining comprehensive records of all obtained consents
• Handling consent withdrawals and related data deletion requests
• Ensuring compliance with all applicable privacy laws and regulations

5.2 Prohibited Uses

The Service may not be used for:

• Collecting sensitive personal information, including but not limited to healthcare, financial services, or regulated data
• Purposes other than customer research, discovery, or sales interviews
• Tampering with or reverse engineering the AI Agents
• Circumventing service limitations or security measures
• Any unlawful or unauthorized purposes

6. Data Handling and Privacy

6.1 Data Storage and Deletion

We maintain the following data practices:

• Interview data is retained for the duration of your active account
• No backups are maintained
• Upon account deletion, all associated data is permanently and immediately deleted
• We do not intentionally collect or store sensitive personal information through error logging or performance monitoring

6.2 Data Access and Control

You retain full ownership of:

• All interview recordings and transcripts
• Custom Instructions and configurations
• Company and product information provided to the Service

7. Billing and Payment Terms

7.1 Usage-Based Billing

The Service is billed according to the following terms:

• Charges are calculated at $0.0055 per second of actual interview time
• Time is measured from AI Agent invocation to destruction
• Charges are rounded down to the nearest second
• Billing occurs at the end of each monthly billing period

7.2 Payment Obligations

You agree that:

• All outstanding charges must be paid before account cancellation
• We may modify pricing with advance notice
• Service may be suspended for non-payment
• You are responsible for all applicable taxes

8. Service Availability and Third-Party Dependencies

8.1 Third-Party Dependencies

The Service relies on third-party API providers for AI Agent functionality. Consequently:

• Service availability is subject to third-party provider uptime
• We are not liable for service interruptions caused by third-party providers
• Service pricing may be adjusted due to third-party cost changes

9. Intellectual Property Rights

9.1 Ownership and Licenses

• We retain all rights to the Service platform, AI models, and technology
• You retain all rights to your Content and interview data
• You grant us a license to use your Content solely for providing the Service
• We retain rights to aggregated, anonymized data used for service improvements

10. Limitation of Liability

10.1 Liability Exclusions

We are not liable for:

• Unauthorized access to interview data
• Misuse of interview content by users or Interview Subjects
• Service interruptions due to third-party providers
• Accidental transmission of sensitive information during interviews
• Damages exceeding the amount paid for the Service in the previous month

11. Term and Termination

11.1 Termination Terms

These Terms remain effective until terminated. Either party may terminate:

• With notice and payment of outstanding charges
• Immediately for violations of these Terms
• Account termination results in immediate data deletion

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. The Service is intended for use within the United States only.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Continued use of the Service constitutes acceptance of modified Terms.
